Effective Date: June 1, 2026

Last Updated: June 1, 2026

Acceptance of Terms

These Terms of Use, together with our Privacy Policy, Data Processing Addendum (“DPA”), and any applicable Order Form or additional service-specific terms, constitute a legally binding agreement (the “Agreement”) between Graaho Technologies LLC, operating as Koronik.AI (“Koronik,” “we,” “us,” or “our”), and the individual or legal entity accessing or using our Services (“Client,” “you,” or “your”).

By registering for an account, accessing our platform, purchasing a subscription, or otherwise using our Services, you acknowledge and agree that:

      1. You have read, understood, and accepted this Agreement.
      2. You are legally authorized to enter into this Agreement, either personally or on behalf of the organization you represent.
      3.  You are responsible for ensuring that your use of our Services complies with applicable laws, regulations, and these Terms.
      4. You understand that AI-generated information, recommendations, and automated actions may require human review and oversight.

Our Services are primarily designed for business and professional use. Certain plans may also be available to individual subscribers, subject to applicable terms and consumer protection laws.

If you do not agree with this Agreement, you must not access or use our Services. This Agreement becomes effective on the earlier of the date you first register for, access, or use the Services or the effective date of an applicable Order Form.

In Plain Language

Using Koronik.AI means you agree to these Terms, even if you haven’t signed a separate contract, and if you sign up on behalf of a business, you must have permission to represent that business. Our goal is to make AI accessible, useful, and trustworthy, and these Terms set out the responsibilities that help make that possible.

The following terms shall have the meanings specified below.

1.16. Agent Configuration: The roles, instructions, behavioral parameters, knowledge settings, permissions, workflows, escalation conditions, and other specifications established by the Client for its AI Agents.

In Plain Language

Koronik.AI provides the technology for creating and operating AI agents, while you provide the instructions, information, and permissions that determine what your agents can do. The people who manage your agents are Authorized Users, and the people who interact with your deployed agents are End-Users. These distinctions matter because ownership, access, and responsibility differ depending on each person’s role.

2.1. Scope of Services

We will endeavor to communicate material changes that substantially affect the Services or existing subscriptions. Except where expressly provided under an Order Form or Service Level Agreement, we do not guarantee the continued availability of every feature, integration, or configuration.

2.3. Changes to These Terms

We may revise this Agreement to reflect changes in our Services, business practices, technology, or legal obligations.

Material changes will be communicated through the Platform, email, or other reasonable means before taking effect, except where immediate changes are necessary for security, legal compliance, or prevention of abuse.

Changes to subscription pricing will generally be communicated at least thirty (30) days before taking effect, unless a different notice period is provided in the applicable Order Form or required by law.

Continued use of the Services after revised Terms become effective constitutes acceptance of those Terms, to the extent permitted by applicable law.

2.4. Internet and Technical Requirements

The Client is responsible for obtaining and maintaining the internet connectivity, devices, software, and technical environments required to use the Services.

Koronik.AI does not guarantee compatibility with every device, browser, operating system, or third-party application.

2.5. Additional Agreements

Certain enterprise features, integrations, professional services, and specialized deployments may be governed by separate Order Forms, Statements of Work, Service Level Agreements, or additional terms.

2.6. No Transfer of Ownership

Access to the Services grants a limited contractual right to use the Platform. It does not constitute a sale or transfer of ownership of the Platform or underlying technology.

In Plain Language

Koronik.AI will continue improving, and some features may change along the way. Your subscription determines which features and usage allowances you receive, and we’ll communicate important changes, particularly those affecting your pricing or how you use the Services.

3.1. Account Registration

To access the Services, the Client must provide accurate, complete, and current registration information.

Where the Client is an organization, the person creating or administering the account represents that they have the authority to act on its behalf.

Clients must not knowingly deploy Services for prohibited interactions with minors or collect children’s Personal Data without the notices, authorizations, and safeguards required by applicable law.

3.3. Authorized Users and Permissions

Clients may designate Authorized Users and assign administrative, operational, or restricted access permissions according to their Subscription.

Clients are solely responsible for:

      1. Selecting and authorizing Users;
      2. Assigning roles and permissions;
      3. Monitoring account activity;
      4. Revoking access when appropriate;
      5. Maintaining the confidentiality of login credentials;
      6. Ensuring that Users comply with this Agreement.

Koronik.AI is not responsible for consequences arising from inappropriate permissions granted by the Client, except where directly attributable to Koronik.AI’s breach of its contractual obligations.

3.4. Account Security

Clients must implement reasonable measures to secure their accounts, including appropriate password practices, access controls, and available authentication mechanisms.

Login credentials, API keys, authentication tokens, and other access credentials must not be publicly disclosed or provided to unauthorized parties.

3.5. Responsibility for Account Activity

The Client is responsible for activities performed through its account by its Authorized Users, AI Agents, connected applications, and other persons to whom the Client has granted access, except to the extent caused by Koronik.AI’s breach of its obligations.

This includes activity performed through API credentials, automated workflows, and third-party integrations authorized by the Client.

      3. Knowledge sources and information boundaries;
      4. Workflow rules and task permissions;
      5. Escalation and human handover conditions;
      6. Communication channels and deployment environments;
      7. Operational restrictions and approval requirements.

Koronik.AI provides tools to configure these capabilities but does not independently verify whether every configuration is appropriate for the Client’s business.

3.7. Knowledge Sources and Client Information

Clients represent and warrant that they have the necessary rights, licenses, permissions, and lawful grounds to upload, connect, process, and use Knowledge Sources through the Services.

Clients are responsible for ensuring that Knowledge Sources are accurate, appropriately authorized, and suitable for use by their AI Agents.

Koronik.AI does not independently guarantee the accuracy, completeness, or legal status of Client-provided information.

3.8. AI Agent Deployment

Clients may deploy AI Agents through supported websites, applications, messaging services, enterprise systems, and other integration channels.

Clients are responsible for ensuring that such deployments comply with applicable laws and third-party platform requirements.

Where required, Clients must inform End-Users that they are interacting with an AI system and provide appropriate privacy notices.

3.9. Automated Actions and Transactions

Certain AI Agents may be capable of performing automated actions, including retrieving information, generating communications, updating records, initiating workflows, scheduling activities, or interacting with connected systems.

The Client is responsible for defining the scope of authority granted to such agents.

Unless expressly agreed otherwise, Koronik.AI does not independently authorize, approve, or verify individual business decisions, transactions, or actions initiated by Client-configured agents.

Clients should implement appropriate human approval mechanisms for actions involving financial commitments, legal rights, access to sensitive information, irreversible changes, or other material consequences.

3.10. Third-Party Integrations

Clients may connect the Services to websites, communication channels, databases, business applications, or other supported third-party systems.

By enabling an integration, the Client authorizes the relevant exchange and processing of information necessary for that integration to function, subject to its configuration and applicable permissions.

Third-Party Services may operate under separate terms, privacy policies, and service conditions.

Koronik.AI is not responsible for independent changes, outages, data practices, or actions of Third-Party Services outside its reasonable control. This does not exclude obligations Koronik.AI may have for subprocessors acting on its behalf.

3.11. Data Protection and Privacy Responsibilities

The Client is responsible for determining the lawfulness of collecting, submitting, and processing Client Data through the Services.

This includes providing privacy notices, obtaining required consents or other lawful bases, and honoring applicable data protection rights.

Where Koronik.AI processes Personal Data on behalf of a Client, the applicable DPA governs the respective data protection obligations of the parties.

3.12. Backup and Business Continuity

Clients should maintain appropriate copies of important information, records, and business-critical data independently of the Platform.

Koronik.AI may provide data storage, retention, backup, and export capabilities as described in the applicable service documentation or Order Form.

Unless expressly agreed otherwise, the Services are not intended to serve as the Client’s sole archival or business continuity solution.

3.13. Account Monitoring and Usage Limits

Koronik.AI may monitor technical usage information to enforce Subscription limits, detect abuse, maintain security, prevent fraud, and protect service availability.

If usage exceeds an applicable limit, we may apply authorized overage charges, request a plan upgrade, throttle usage, or temporarily restrict affected features according to the applicable Subscription terms.

In Plain Language

You control your account, your users, and your AI agents, including what information your agents receive, which systems they can access, and what actions they are permitted to perform. Clients acknowledge that AI-powered technologies may generate content that is inaccurate, incomplete, outdated, biased, inconsistent, or inappropriate for a particular context. Clients agree to apply reasonable judgment and appropriate review before relying on AI-generated Outputs or deploying them in circumstances where inaccuracies may cause material harm.

4.5. Sensitive and High-Impact Use Cases

The Services are not intended to replace qualified professional judgment in medical, legal, financial, employment, insurance, or other regulated or consequential matters.Clients must not use AI-generated Outputs as the sole basis for high-impact decisions affecting individuals’ legal rights, financial standing, employment, health, safety, or access to essential services without appropriate safeguards and lawful authorization. Clients are responsible for assessing whether their intended deployment requires additional compliance measures, disclosures, validation, human oversight, or contractual arrangements.

4.6. Autonomous and Automated Workflows

Clients are responsible for reviewing and authorizing the capabilities and permissions granted to AI Agents performing automated tasks. Koronik.AI does not guarantee that automated actions will always be accurate, appropriate, reversible, or consistent with the Client’s intended objectives. Clients should establish safeguards, transaction limits, approval requirements, monitoring, and escalation procedures appropriate to the risks of each workflow.

4.9. Third-Party AI Providers

Certain Services may incorporate AI models, algorithms, infrastructure, or other technologies developed or operated by third parties. You can use the Outputs generated for you, although AI-generated content may not always be unique or eligible for copyright protection. In Plain Language

You pay for the plan and resources you use: some plans include a fixed allowance, while others charge according to consumption. If you use more AI resources than your plan includes, additional charges may apply under the billing arrangement you’ve accepted. Koronik.AI may offer limited-duration trials that allow prospective Clients to evaluate certain Services without purchasing a paid Subscription. Trial availability, duration, features, and usage allowances are determined by Koronik.AI and may vary by offering.

8.1.2. Trial Restrictions

Trial Services are provided for evaluation purposes and may include restrictions on usage, integrations, storage, support, or other features.

8.1.3. Trial Disclaimer

Trial Services are provided on an “as is” and “as available” basis without additional warranties. To the extent permitted by law, Koronik.AI is not responsible for losses arising from the Client’s reliance on Trial Services for production or business-critical activities.

8.1.4. Trial Expiration

When the trial period expires, continued access may require selection of a paid Subscription or transition to an available free plan. Koronik.AI may restrict or terminate trial access at expiration and may apply the data retention practices specified in applicable service documentation.

8.2. Freemium Services

8.2.1. Free Access

Koronik.AI may offer certain features under a free or freemium plan. Such plans may be subject to usage, functionality, storage, integration, or support limitations.

8.2.2. Changes to Free Offerings

Koronik.AI may modify or discontinue free offerings, subject to applicable law and any required notice.

8.2.3. Service Limitations

Freemium Services are provided without guaranteed service levels unless expressly stated otherwise.

8.3. Paid Services

8.3.1. Paid Subscription

Paid Services become available once the Client completes the required Subscription and payment process.

8.3.2. Subscription Period

The Subscription remains effective for the selected billing period or the term specified in an Order Form.

8.3.3. Cancellation

Clients may cancel their Subscription through supported account settings or by following the cancellation procedures specified in the applicable Order Form. Unless otherwise agreed, cancellation takes effect at the end of the current paid Subscription period.

8.3.4. Immediate Closure

Where the Client requests immediate account closure, access may terminate before the current billing period ends. Such closure does not automatically entitle the Client to a refund for unused Subscription time.

8.3.5. Suspension or Termination

Koronik.AI may suspend or terminate access where the Client materially breaches this Agreement, fails to pay applicable fees, engages in unlawful activity, or creates substantial security or operational risks. Where reasonably practicable, Clients will receive notice and an opportunity to remedy a non-material breach.

8.4. Early Access Features

8.4.1. Availability

Koronik.AI may provide experimental, beta, preview, or other pre-release functionality (“Early Access”).

8.4.2. Limitations

Early Access features may be incomplete, unstable, inaccurate, or subject to significant changes. They should not be relied upon for business-critical operations without appropriate safeguards.

8.4.3. Modifications and Discontinuation

Koronik.AI may modify, suspend, or discontinue Early Access features and may choose not to release them commercially.

8.4.4. Feedback

Feedback regarding Early Access features may be used to develop or improve the Platform in accordance with Section 5.7.

8.4.5. Warranty Disclaimer

Early Access features are provided “as is” and “as available,” without guarantees regarding functionality, performance, or future availability.

8.5. Effects of Termination

Upon termination or expiration of the Agreement:

  1. The Client’s right to use the affected Services ends;
  2. AI Agents and connected workflows may cease functioning;
  3. API access and integrations may be disabled;
  4. Outstanding payment obligations remain payable;
  5. Client Data will be handled in accordance with applicable retention and deletion provisions;
  6. Provisions intended to survive termination, including confidentiality, intellectual property, liability, and dispute resolution, remain effective.

In Plain Language

You can start with an available trial or free plan, then move to a paid Subscription when you need more capabilities. Paid plans continue according to their billing terms until canceled or terminated, and while you can cancel future renewals, unused subscription time is generally not refundable. If your account closes, your deployed agents and integrations may stop operating, so please export any information you need beforehand.

9.1. Service Performance

Koronik.AI will use commercially reasonable efforts to provide the Services with reasonable care and professional competence. Any specific service availability, response time, support commitment, or performance guarantee must be expressly stated in an applicable Service Level Agreement or Order Form.

9.2. General Disclaimer

Except as expressly provided in this Agreement, the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Koronik.AI disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.3. AI Performance and Accuracy

Clients acknowledge that artificial intelligence technologies, including generative AI and large language models, are probabilistic systems that may produce unexpected, inconsistent, inaccurate, or inappropriate results. Koronik.AI does not warrant that AI-generated Outputs will always be accurate, complete, factual, unbiased, or suitable for the Client’s particular purpose. Clients are responsible for applying reasonable human oversight when Outputs are used in consequential decisions or operations.

9.4. Agent Behavior and Workflow Execution

Koronik.AI does not guarantee that an AI Agent will always interpret instructions correctly, execute every workflow successfully, or produce the Client’s intended business result. Automated actions may be affected by incomplete information, configuration errors, model behavior, third-party system limitations, or other factors outside Koronik.AI’s reasonable control.

9.5. Service Availability

Koronik.AI does not guarantee uninterrupted or error-free access to the Services unless expressly provided under an applicable Service Level Agreement. Temporary interruptions may occur due to maintenance, upgrades, infrastructure issues, security incidents, third-party outages, or circumstances beyond reasonable control.

9.6. Third-Party Dependencies

The Services may rely upon external AI models, cloud infrastructure, APIs, messaging platforms, and other third-party technologies. Koronik.AI does not guarantee the continued availability or performance of independent Third-Party Services. This provision does not relieve Koronik.AI of obligations relating to third-party providers for which it remains responsible under applicable law or the DPA.

9.7. Changes to Platform Capabilities

Koronik.AI may update models, interfaces, features, workflows, and integrations as part of ongoing development. Unless expressly agreed, we do not guarantee that every feature or model will remain unchanged throughout the Subscription.

9.8. Remedies

In the event of a substantiated breach of an express service warranty, Koronik.AI may, as appropriate:

  1. Correct the affected functionality;
  2. Reperform the affected service;
  3. Provide a reasonably equivalent alternative;
  4. Terminate the affected Services and provide any refund or remedy required under the applicable agreement or law.

In Plain Language

We work to make Koronik.AI reliable, useful, and continuously improving, but AI is not infallible. Agents can misunderstand instructions, produce inaccurate information, or encounter problems with external systems, so appropriate monitoring, safeguards, and human oversight remain essential for important business processes.

10.1. Exclusion of Certain Damages

To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to this Agreement. This includes lost profits, lost business opportunities, loss of goodwill, and business interruption, except where such exclusions are prohibited by applicable law.

10.2. Limitation of Liability

To the fullest extent permitted by applicable law, Koronik.AI’s total aggregate liability arising out of or relating to this Agreement shall not exceed the fees actually paid or payable by the Client for the affected Services during the twelve (12) months preceding the event giving rise to the claim. For free or trial Services where no fees have been paid, Koronik.AI’s aggregate liability shall not exceed USD $100, except where a different amount is required by applicable law.

10.3. Client Responsibilities

Koronik.AI shall not be responsible for losses to the extent resulting from:

  1. Inaccurate or unauthorized Client Data;
  2. Improperly configured AI Agents;
  3. Unauthorized permissions granted by the Client;
  4. Failure to review consequential AI-generated Outputs;
  5. Client-authorized automated actions or transactions;
  6. Client misuse of the Platform;
  7. Independent Third-Party Services outside Koronik.AI’s reasonable control;
  8. Violations of applicable laws or third-party rights by the Client.

10.4. Exceptions

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other matters for which applicable law prohibits such limitations. The foregoing limitations do not excuse the Client from paying valid fees owed under the Agreement.

10.5. Allocation of Risk

The parties acknowledge that the fees charged for the Services reflect the allocation of risks and responsibilities established under this Agreement. Where necessary, Enterprise Clients may negotiate alternative liability provisions through an applicable Order Form.

In Plain Language

We take our responsibilities seriously, but we cannot accept unlimited liability for every consequence of using AI technology. Our financial liability is generally limited to the amount paid for the affected Services during the preceding twelve months, subject to applicable law. Clients remain responsible for their own data, configurations, permissions, and business decisions, and Enterprise arrangements may include separately negotiated protections.

11.1. Severability

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain effective to the fullest extent permitted by applicable law.

11.2. Order of Precedence

If conflicting provisions arise among documents governing the Services, the following order of precedence shall apply unless expressly agreed otherwise:

  1. A mutually executed Order Form, for conflicting commercial or specifically negotiated terms;
  2. The Data Processing Addendum, for matters concerning Personal Data processing;
  3. Any applicable Service Level Agreement or service-specific terms, within their expressly defined scope;
  4. These Terms of Use;
  5. General service documentation and policies incorporated by reference.

11.3. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Selected U.S. State or Jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising under this Agreement shall be subject to the jurisdiction of the appropriate courts located in [Selected Jurisdiction], except where mandatory applicable law requires otherwise.

11.4. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith discussions. Either party may provide written notice describing the dispute. The parties will endeavor to resolve the matter within thirty (30) days following receipt of such notice. If the dispute remains unresolved, the parties may pursue mediation or other remedies available under the Agreement and applicable law. Nothing in this section prevents a party from seeking urgent injunctive relief or exercising rights that cannot lawfully be restricted.

11.5. Independent Parties

The parties are independent contractors. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency, or fiduciary relationship between the parties.

11.6. Assignment

The Client may not transfer this Agreement or its rights and obligations without Koronik.AI’s prior written consent, except where otherwise permitted by applicable law or an Order Form. Koronik.AI may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of substantially all relevant business assets, provided that such assignment does not materially diminish the Client’s contractual protections.

11.7. Force Majeure

Neither party shall be responsible for delays or failures to perform obligations, other than payment obligations, caused by circumstances beyond its reasonable control.Such circumstances may include natural disasters, government actions, widespread telecommunications failures, labor disruptions, and significant infrastructure outages. The affected party shall make reasonable efforts to mitigate the impact of such events.

11.8. Entire Agreement

This Agreement, together with any incorporated Privacy Policy, DPA, Order Form, and applicable service-specific terms, constitutes the entire agreement between the parties concerning the Services and supersedes prior understandings relating to the same subject matter.

11.9. Notices

Koronik.AI may communicate contractual notices through email, account notifications, or other contact methods reasonably associated with the Client’s account. Clients must maintain accurate contact information to receive such notices. Formal legal notices to Koronik.AI should be directed to:
